END USER LICENCE AGREEMENT
The following discloses the End User Licence Agreement for the Web sites 'www.ero-ru.net' (referred as 'the website'), the software 'Ero-ru.Net' (referred as 'the software'). The website, the software are referred collectively as 'The product'.
THE PRODUCT IS SUBJECT TO THE TERMS AND CONDITIONS OF THIS STATEMENT. BECAUSE USING OR VISITING THE PRODUCT CONSTITUTES ACCEPTANCE OF THESE TERMS AND CONDITIONS, PLEASE READ THEM CAREFULLY.
This End User Licence Agreement is a legal agreement between you (either an individual or a single entity) and Vedrelama LTD for a Software Product downloaded by you from one of Vedrelama LTD's websites. By installing and using the software produced by Vedrelama LTD you signify your acceptance of this End User Licence Agreement and you agree to be bound by the terms of this End User Licence Agreement.
IF YOU DO NOT AGREE TO THE TERMS OF THIS End User Licence Agreement DO NOT INSTALL OR USE THE SOFTWARE.
Vedrelama LTD Licence
The software produced by Vedrelama LTD and made available for download and evaluation purposes from the websites of Vedrelama LTD and its partners are protected by copyright laws and international copyright treaties. Registration and payment for the products are available trough various resellers that can be found on Vedrelama LTD's websites. This licence applies to all and any use of the software, including evaluation period of the software.
All material, including, without limitation, all advertising banners, photographic materials, recordings, video, sound, animations, and any other form of intellectual property licenced to you by Vedrelama LTD as part of this agreement shall remain the property of Vedrelama LTD and may not be copied or reproduced, altered, modified or changed, broadcast, distributed, transmitted or disseminated, sold or offered for sale in any manner, at any time anywhere in the World except as expressly authorized by Vedrelama LTD in writing.
Ownership of the software
You agree that the software and all licensed materials it might contain are licensed, not sold to you. You agree that the software and its content, including the whole website, belong to Vedrelama LTD, including all intellectual and proprietary rights, unless otherwise specified. Vedrelama LTD retains all right, title and interest in and to the software and its content at all times, and regardless of the form or media in or on which the original or other copies may subsequently exist. Any suggestions, ideas or inventions that you voluntarily and optionally disclose to us through any means will be used, or not used, by Vedrelama LTD at Vedrelama LTD's sole discretion; and, Vedrelama LTD will have no obligation to you regarding any ideas or inventions that you disclose through such means.
License
Vedrelama LTD grants a non-exclusive, limited license, pursuant to the terms hereof, to install and use the most current versions of the software solely for your personal, non-commercial use.
i. For use on a single computer accessible by one user at a time for an unlimited evaluation period or.
ii. For ongoing use on a single computer accessible by one user at a time following payment and registration of the software.
Rental and Transfer of Licence
You may not rent, loan, transfer, sub-licence the software without the written consent of Vedrelama LTD.
Distribution of the Software
You may distribute the product provided that, the copy of the software is in its original form as supplied by Vedrelama LTD and that this distribution is free of charge.
Distribution of the Content
You may NOT distribute, copy, or provide access to the content including but not limited to, the animations, the videos and the photos available only to members.
Login and password
As a member of the website, you may NOT disclose your login and password to any third party. Disclosing your login and password to any third party grants Vedrelama LTD to restrict your access to the website.
Transfer to other Computer
You're free to use up to two copies of the software installed on different computers at the same time.
Reverse Engineering
You may not, nor allow or cause a third party to reverse engineer, decompile or disassemble the software and its files.
Credits
You can buy Credits from the website. Upon valid and up to date payment of one or two credits(depending on the model's price in credits), Vedrelama LTD gives you a limited nonexclusive, non-transferable and revocable license to access and download the full nudity show, photos and videos of a model from the Website. Credits are non transferable Vedrelama LTD has no obligation to make available to you any new models besides the ones available on the day you purchased credits. You understand that Vedrelama LTD, in its discretion, may discontinue, or suspend the production and release of new models at any time.
Subscription
Upon valid and up to date payment of a membership, Vedrelama LTD gives you a limited nonexclusive, non-transferable and revocable license to access and download the full nudity show, photos and videos of a new model every day from the Website. Memberships are non transferable. Vedrelama LTD has no obligation to make available to you any new models besides the ones available on the day you subscribed. You understand that Vedrelama LTD, in its discretion, may discontinue, or suspend the production and release of new models at any time. This license shall automatically and immediately cease upon the termination of your membership. Your membership will recur monthly, every three month or every six month depending on the option you selected, until cancelled. You can cancel your membership by clicking on the "Cancel Membership" button in your profile.
Post membership license
Vedrelama LTD gives you a limited nonexclusive, non-transferable and non-revocable license to use after the expiration of your membership all software, photos, videos and animations downloaded from the Website members' area within the scope of the membership licence.
Creation of advertising material
Totem gives members of its websites a limited nonexclusive, non-transferable and revocable license to access and download photos created by Vedrelama LTD for the exclusive purpose of creating advertising material for the websites and software owned or operated by Vedrelama LTD. This license can be revoked at any time by Vedrelama LTD. Advertising material created by members can consist of banners, wallpapers and postcards. Any other type of advertising material has to be accepted in writing by Vedrelama LTD. Each piece of advertising has to mention Ero-ru.Net © Vedrelama LTD and the url www.ero-ru.net. By producing advertising material based on photos owned by Vedrelama LTD, you agree to give licence to anybody, including Vedrelama LTD, to distribute this material for free. Any other use of that material than free distribution in the purpose of advertising for Vedrelama LTD websites is strictly forbidden.
Copy or Partial use in other Software Products
The software may not be used in whole or part to enhance or assist in development of a similar or competitive product or otherwise use the whole or part of the software product.
Beta version
Vedrelama LTD does not assume any responsibility in case you chose to use or evaluate any product that being developed and released as Beta. Vedrelama LTD further disclaims any commitment to release any product that being developed and released as Beta.
Ownership of the computer
You represent and warrant that you are the owner of the computer that you have authorized the download and installation of the software, or the owner of the computer has authorized you to do so. You agree, with respect to all other users of the computer that you have caused the software to reside, to provide a copy of this terms of use and End User License Agreement and to obtain their consent to same before allowing them to use the computer. Also, you agree not to use the software, in a manner prohibited by law, or in violation of any contractual provision by which you are bound. You agree to comply with all applicable laws, rules and regulations in your use of the software.
Voluntary Software and Right to Uninstall
You understand that the software is voluntary software program and you may uninstall it at any time by using the Microsoft® Windows® Add/Remove Programs menu in your Microsoft Windows control panel.
Restricted to Adults
The access of the Product and/or the Website is restricted to adults only. You must be over the age of 18 or the legal age as defined by your country or state of residence to use the Product and/or the Website. You agree to be solely responsible for (i) maintaining such controls over the use and/or access to the Product and/or the Website by minors in your family, or (ii) limiting access to your computer or login to the
extent necessary to restrict its use to adults.
License Restrictions
Vedrelama LTD has no obligation to make available to you any subsequent versions of the software. Without limiting Vedrelama LTD's rights, you understand that Vedrelama LTD, in its discretion, may modify, discontinue, or suspend your right to access the software at any time. Vedrelama LTD reserves all rights in the product not expressly granted to you in this Agreement.
Community terms & conditions
There are various areas of this website where you may post comment (including but not limited to Forum, Comments and User Profiles) ("the Community"). The Community is provided by Vedrelama LTD to you subject to the terms of this agreement. Reading a message posted to the Community and posting a message to the Community will constitute acceptance of the terms and conditions of this agreement. If you do not agree to abide by these terms, please don't participate in the Community.
Message Rules
You are entirely liable for all activities conducted by you or by others authorised by you or otherwise on your behalf. You agree not to do any of the following actions while using this the Community:
1. Do not post Nudity. We want to keep the Ero-ru.Net website and community "ok" for home and work so nudity is prohibited in all public areas of the website, including comments and profiles. Nudity in posts is ok ONLY in some forum categories. Outside those, if you want to post pictures of your favorites Ero-ru.Net, make sure they are still wearing something;
2.To harass, threaten, embarrass or cause distress or discomfort upon another participant, user, or other individual or entity;
3.To transmit or publish via the Community any information, data, text, files, links, software, or other materials ("Content") that Vedrelama LTD considers to be unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, hateful, racially, ethnically or otherwise objectionable;
4.To impersonate in the Community Area any person;
5.To disrupt the normal operations in the Community or otherwise act in a manner that negatively affects other participants;
6.To post or transmit any unsolicited advertising, promotional materials, or any other forms of solicitation in the Community;
7.To intentionally or unintentionally violate any applicable local, regional, national or international law, including but not limited to any regulations having the force of law while using or accessing the Community or in connection with your use of the Community in any manner;
8.Any posting which violates the Community Standards will be removed and Vedrelama LTD reserves the right to close accounts of any persistent violators of these Standards. Vedrelama LTD will edit or remove any posting which contains any phone number or any email address.
Our members must also respect the spirit and tone of our community. Breaking these terms and conditions which includes failing to respect the spirit and tone of the community or postings/ emails which demand a disproportionate amount of time and moderation by the Community Team may result in your account being suspended or, in extreme cases, banned. The length of suspension will be at the discretion of our team and can be permanent. If your account is suspended or banned, you will be prevented from posting on our boards or registering new accounts with us.
Intellectual property
You agree that you will not upload or transmit any Content to the Community that infringes any patent, trademark, trade secret, copyright or other proprietary rights ("Rights") of any party. By submitting Content to the Community, you automatically grant -- or warrant that the owner of such Content has expressly granted -- Vedrelama LTD the royalty-free, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such Content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed for the full term of any Rights that may exist in such Content.
Content
You and any others authorised by you or otherwise on your behalf must evaluate, and bear the risk associated with, the accuracy, completeness or usefulness of any Content. Vedrelama LTD shall not be responsible for any Content. Vedrelama LTD may display, modify, transmit, distribute or delete any Content which you upload or transmit to the Community without needing further permission from you. Vedrelama LTD does not however guarantee the publication of any Content. Vedrelama LTD does not prescreen or monitor Content in the Community as a matter of policy but may in its sole discretion do so in relation to the Community users Comments.
Vedrelama LTD shall have the right, but not the responsibility, to remove Content which is deemed in Vedrelama LTD's sole discretion harmful, offensive, or otherwise in violation of this Agreement or any rules Vedrelama LTD has in place at the time. Vedrelama LTD may elect at its sole discretion to monitor some, all or no areas of the Community for adherence to this Agreement or Vedrelama LTD rules. The views expressed in the Community are personal to the member and/or host and are in no way representative of the views of Vedrelama LTD and are not to be taken to be endorsed by Vedrelama LTD in any way.
Your Obligations
You agree to comply with all applicable laws, rules and regulations in connection with The product and not to use The product to conduct any activity which is prohibited by law, or any contractual provision by which you are bound. You agree that you will not use any device or process to interfere or attempt to interfere with the proper working of The product.
Fraud Policy
Without limiting the foregoing, if Vedrelama LTD suspects or detects fraudulent usage of the Website, Software and their content, including but not limited to file sharing and reverse engineering, End User acknowledges that Vedrelama LTD may, in its sole discretion, take corrective action as may be necessary to mitigate the fraudulent usage, including but not limited to account suspension and content blacklisting, collection and storage of public and private informations about the End User, including but not limited to name, email address, IP address, and use collected informations for further investigations or in court.
Fraudulent claims
In the event that any fraudulent claims are made on any of your personal transactions, be advised that we reserve the right to add to your account return fees in the amount of $30.00 per charge back transaction and collection costs when applicable. Additionally, we reserve the right to refer uncollected balances to third party collection agencies to investigate any returned bank/bankcard transaction.
Applicable Law
The laws of France will govern these Client Terms and Conditions and End User Licence Agreement, without reference to conflicts of law principles. The parties hereby submit to the jurisdiction of, and waive any venue objections against, the courts in Versailles, France. The United Nations Convention on Contracts for the Sale of Goods does not apply to these Client Terms and Conditions and End User Licence Agreement.
Termination
THESE Client Terms and Conditions and End User Licence Agreement MAY BE TERMINATED AT ANY TIME BY UNINSTALLING THE PRODUCT FROM THE COMPUTER ON WHICH IT RESIDES USING THE ADD/REMOVE PROGRAMS MENU IN THE MICROSOFT® WINDOWS® CONTROL PANEL.
Refunds
ALL Refunds are given according to Vedrelama LTD's decision.
Disclaimer of Warranty
USE OF THE PRODUCT IS AT YOUR OWN RISK. THE PRODUCT IS SUPLIED ON AN "AS IS," "WHERE IS," BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. THIS DISCLAIMER OF WARRANTY CONSTITUTES AN ESSENTIAL PART OF THE Client Terms and Conditions and End User Licence Agreement. Vedrelama LTD MAKES NO WARRANTY THAT THE PRODUCT OR THE SUPPLIED MATERIALS ARE ACCURATE, TIMELY, UNINTERRUPTED OR ERROR-FREE; THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE PRODUCT WILL BE RELIABLE; THAT THE PRODUCT WILL IDENTIFY ANY IDENTITY THEFT, THAT THE QUALITY OF ANY PRODUCTS OBTAINED OR PURCHASED THROUGH THE USE OF THE PRODUCT WILL MEET YOUR EXPECTATIONS; OR THAT ANY ERRORS IN THE PRODUCT WILL BE CORRECTED.
Limitation of Liability
IN NO EVENT WILL Vedrelama LTD, ITS EMPLOYEES, DISTRIBUTORS, SUPPLIERS, MERCHANT PARTNERS, BUSINESS ASSOCIATES, ADVERTISERS, DIRECTORS OR AGENTS (COLLECTIVELY "PROTECTED PARTIES") BE LIABLE FOR ANY INDIRECT DAMAGES OR OTHER RELIEF ARISING OUT OF YOUR USE OR INABILITY TO USE THE PRODUCT INCLUDING, BY WAY OF ILLUSTRATION AND NOT LIMITATION, LOST PROFITS, LOST BUSINESS OR LOST OPPORTUNITY, OR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING LEGAL FEES, ARISING OUT OF SUCH USE OR INABILITY TO USE THE PRODUCT, EVEN IF A PROTECTED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY. IN NO EVENT WILL PROTECTED PARTIES MAXIMUM CUMULATIVE LIABILITY UNDER THE Client Terms and Conditions and End User Licence Agreement EXCEED ONE DOLLAR ($1.00).
Vedrelama LTD assumes no liability hereunder for, and shall have no obligation to defend you or to pay costs, damages or attorneys' fees for, any claim arising from: any method or process in which The product may be used by you; any results of using The product; any use of other than a current unaltered release of The product; or the combination, operation or use of The product furnished hereunder with non-Licensed Materials if such infringement would have been avoided by avoidance of the combination, operation, or use of The product with other programs, data, or other materials.
18 U.S.C. Section 2257 Compliance Notice
All models, actors, actresses and other persons that appear in any visual depiction of actual sexually explicit conduct appearing or otherwise contained in the product were over the age of eighteen years at the time of the creation of such depictions. Some visual depictions displayed in the product are exempt from the provision of 18 U.S.C. section 2257 and 28 C.F.R. 75 because said visual depictions do not consist of depictions of conduct as specifically listed in 18 U.S.C section 2256 (2) (A) through (D), but are merely depictions of non-sexually explicit nudity, or are depictions of simulated sexual conduct. The owners and operators of the product are the primary producer (as that term is defined in 18 USC section 2257) of most of the visual content contained in the product.
These Terms and Conditions sets forth the entire understanding and agreement between you and Vedrelama LTD with respect to the subject matter hereof. If any provision or provisions hereof shall be held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be in any way affected or impaired thereby. Vedrelama LTD shall not be liable for any delay or failure in performance under this Agreement or interruption of service resulting from acts of God, civil or military authority, war, labor disputes, materials provided by third parties, or any cause beyond the reasonable control of Vedrelama LTD. Except as described herein, you may not assign this Agreement without our explicit consent.
